These Terms of Use (“Terms”) govern your access to and use of hairedincorp.com (the “Site”), operated by Hairedin Corporation (“Hairedin”, “we”, “us”, or “our”). By accessing or using the Site you agree to be bound by these Terms. If you do not agree, do not use the Site.

About the Site

The Site is an informational and commercial-inquiry resource for wholesale buyers interested in the products that Hairedin distributes. The Site is intended for use by businesses and persons acting in a commercial capacity. The Site is not a retail e-commerce platform and does not currently process orders, payments, or shipments through the Site.

No Offer or Contract

Product listings, capability descriptions, partner brand information, and any pricing references on the Site are for informational purposes only. Nothing on the Site constitutes a binding offer to sell, a quotation, a guarantee of availability, or a distribution agreement. Any supply, purchase, or distribution arrangement between Hairedin and a buyer is established only through a separately signed agreement or written quotation accepted by both parties.

Accuracy of Information

We make reasonable efforts to keep the information on the Site accurate and current. However, product specifications, certifications, packaging formats, and partner brand details can change without notice. Hairedin does not warrant that the content on the Site is complete, accurate, current, or free from errors. You should confirm material details with us in writing before relying on them for a commercial decision.

Partner Brands and Certifications

Hairedin is a distributor. The Site references brands that we distribute or have distributed in the past (the “Partner Brands”). The Partner Brands are owned by their respective rights holders and are referenced on the Site solely to identify the products we distribute. No statement on the Site should be read as a claim by Hairedin to ownership of, exclusive distribution rights to, or current affiliation with any Partner Brand unless expressly stated.

Certification marks displayed on the Site (such as HACCP, USDA, CFIA, BRCS Food Safety, Pro-Cert Organic, and Foodland Ontario) identify recognized certifying bodies and standards relevant to the products we distribute. Display of a certification mark does not imply that every product Hairedin distributes carries that certification. Specific certification status is confirmed on a product-by-product basis at the time of quotation.

Acceptable Use

When using the Site you agree not to:

• Use the Site or its forms to transmit spam, malware, or any unlawful, harassing, or fraudulent content
• Misrepresent your identity, your authority to act on behalf of a business, or the purpose of your inquiry
• Attempt to access, scan, probe, or interfere with any part of the Site you are not authorized to use
• Scrape, mirror, or republish content from the Site for competitive purposes
• Use the Site in any manner that violates applicable law, including export controls and sanctions

Intellectual Property

The Site and its original content (excluding Partner Brand marks and third-party certification marks) including text, graphics, layout, photographs, and the underlying code, are owned by or licensed to Hairedin Corporation. You may view and share content from the Site for non-commercial reference purposes with attribution. Any other use, including reproduction, distribution, modification, or commercial use, requires our prior written consent.

“Hairedin”, the Hairedin word mark, and the Hairedin logo are trademarks of Hairedin Corporation. All other names, logos, and marks are the property of their respective owners.

Third-Party Links

The Site contains links to Partner Brand websites, certification body websites, and other third-party resources. Those sites are operated by parties other than Hairedin. We provide the links for convenience and do not endorse or accept responsibility for the content, accuracy, or practices of those sites. Your use of any third-party site is at your own risk.

Disclaimer of Warranties

The Site is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Hairedin disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Site will be uninterrupted, secure, or error free. Statements about products, certifications, or capabilities on the Site are descriptive only and are not warranties.

Limitation of Liability

To the maximum extent permitted by law, Hairedin, its directors, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, business, goodwill, or data, arising out of or related to your use of the Site, even if advised of the possibility of such damages.

Hairedin’s aggregate liability arising out of or related to your use of the Site will not exceed CAD $100. Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Hairedin Corporation and its representatives from and against any third-party claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Site, or your violation of any applicable law or the rights of any third party.

Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated by reference into these Terms.

Changes to These Terms

We may revise these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Continued use of the Site after a revision becomes effective constitutes your acceptance of the revised Terms.

Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site is subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.

Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy and any signed commercial agreement between you and Hairedin, constitute the entire agreement between you and Hairedin with respect to the Site.
